1. Acceptance of Terms

By accessing and using the ActGuard platform ("Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ActGuard is a software service that provides AI governance documentation and incident logging capabilities. The Service supports structured incident logging, governance oversight, and audit-ready documentation aligned with EU AI Act expectations.

The Service is an internal governance and documentation system. It is not a legal compliance tool, does not provide legal advice, and does not certify or guarantee regulatory compliance.

3. User Responsibilities

You are responsible for:

  • The accuracy, completeness, and correctness of all data you enter into the Service
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Ensuring that your use of the Service complies with applicable laws and regulations
  • Obtaining any necessary legal, compliance, or regulatory advice independently

4. No Legal Advice or Compliance Certification

The Service provides documentation tools and does not constitute legal advice. Legal compliance determinations remain the responsibility of your organization. We do not provide legal advice, regulatory certification, or compliance guarantees. You should consult with qualified legal or compliance professionals for advice specific to your situation.

5. Service Availability

We strive to maintain Service availability but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, technical issues, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

6. Service Provided "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will meet your requirements or that operation will be uninterrupted or error-free.

7. Limitation of Liability

To the maximum extent permitted by applicable law, ActGuard and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim, or €1,000, whichever is greater.

8. Intellectual Property

The Service, including its software, design, and content, is protected by intellectual property laws. You retain ownership of data you enter into the Service. We retain ownership of the Service platform and technology. You grant us a license to store, process, and display your data solely for the purpose of providing the Service.

9. Data Protection

Our collection and use of personal data is governed by our Privacy Policy. By using the Service, you consent to our data practices as described in the Privacy Policy. We process data in compliance with GDPR and applicable data protection laws.

10. Termination

Either party may terminate access to the Service at any time. Upon termination, you may request export of your data. We will delete or anonymize your data within 30 days of termination, except where retention is required by law. Provisions that by their nature should survive termination (including liability limitations and intellectual property rights) shall survive.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with Danish law, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Denmark.
